In the Convention, it is stipulated that regarding the invalidity of an offer: “An offer, even if irrevocable, terminates when a notice of rejection reaches the offeror.” That is, when the offeree does not accept the content of the offer and sends a notice of rejection to the offeror, the original offer becomes invalid and the offeror is no longer bound by it.
In addition, there are several other situations that can cause the offer to become invalid: ① The offeror revokes the offer before the offeree accepts it; ② The validity period specified in the offer expires;
③ Other issues cause the offer to become invalid. This includes the government issuing a ban or restrictive measures that cause the offer to become invalid. There are also special circumstances such as the death of the offeror and the bankruptcy of a legal person. Under electronic communication methods, the concept of invalidity of an offer is the same as above.
