To register a company, you must first determine the company name, company type, legal representative, business scope, registered capital, shareholders and investment ratio, company address and other information.
1. Company name
Have a company name that meets the requirements. Regarding the company name, before applying for company registration, you can apply for company name registration (i.e. pre-verification registration) at the local market supervision and administration bureau in advance, or submit a name verification application on the local government website. After the name verification is passed, you will receive a name pre-verification notice issued by the market supervision and administration bureau.
The company name should consist of four parts: administrative division + name + industry characteristics + organizational form.
2. Shareholders (or legal representatives)
Have shareholders that meet the requirements, such as natural person shareholders or legal person shareholders.
3. Registered capital
Currently, it is the subscribed capital (non-paid capital, no accounting firm is required to issue a capital verification report, except for special industries).
4. Articles of Association
Have articles of association that meet the requirements.
5. Company address
There must be a company address that meets the requirements.
6. Business scope
The business items must comply with national regulations.
Pay special attention to the fact that the only difference between foreign trade enterprises and domestic trade enterprises is the business scope. The business scope of foreign trade enterprises must include the words “import and export of goods, import and export of technology, and agency import and export”, while domestic trade enterprises do not have this requirement. The other procedures and formalities of the two are basically the same.
7. Company type
Limited liability company. No further introduction will be given here regarding joint stock companies and other types of companies.
